Welcome to Renolab AI (the “Platform” or “Renolab AI”). These Terms of Service (the “Terms” or this “Agreement”) constitute a legally binding agreement between you and Magellan Digital Technology Co., Ltd. (Unified Business Number: 90703038; registered address: 11F., No. 1-2, Sec. 5, Zhongxiao E. Rd., Xinyi Dist., Taipei City, Taiwan; the “Company” or “we”) governing your use of the subscription-based automated order-placement software service provided by the Platform. For online credit card (Stripe) payments, the merchant of record is the Company's U.S. affiliate Proactive AI SaaS LLC (registered address: 30 N Gould St Ste R, Sheridan, WY 82801, USA); for all other services, the Company remains the operating entity and the party responsible for personal data protection.

Please read and fully understand these Terms in their entirety before using the Platform's services. Using the Platform indicates that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Platform.

1. Summary of Key Points

The following is a summary of the key points of these Terms. For the full text, please refer to the detailed provisions in each section:

Nature of the Service: Renolab AI is a subscription-based SaaS software service. Based on the strategies and parameters you configure yourself, it submits order instructions to your own Bitfinex account using the Bitfinex API key you provide. The service is not a financial institution, exchange, virtual asset custodian, virtual asset lending provider, or investment adviser. At no time does the Company hold, custody, or control your digital assets or private keys, nor does it decide or operate your funds on your behalf. Your assets remain in your own Bitfinex account at all times; the API key used by the service has order-placement permission only and no withdrawal permission.
API key security: The Bitfinex API keys you provide are stored in the Platform's database using AES encryption and are decrypted only when lending operations are carried out.
Risk disclosure: Using this service for automated order placement involves risks, including but not limited to rate volatility, Bitfinex platform availability, and API connection interruptions. You should fully understand the relevant risks before using this service.
Governing law: These Terms are governed by the laws of the Republic of China (Taiwan), and disputes shall be subject to the jurisdiction of the Taiwan Taipei District Court.
Age requirement: You must be at least eighteen years old to use the Platform.

2. Acceptance of This Agreement

By creating a Renolab AI account or accessing or using any service of the Platform, you indicate that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the services provided by the Platform.

The Company reserves the right to modify these Terms at any time. Modified Terms will be published on the Platform and take effect on the date of publication. Your continued use of the Platform after the Terms are modified is deemed to be your acceptance of the modified Terms. We recommend that you review these Terms periodically to ensure you are aware of their latest contents.

If any part of these Terms conflicts with other rules, policies, or guidelines of the Platform, these Terms shall prevail, unless those rules, policies, or guidelines expressly state that they supersede a specific provision of these Terms.

3. Eligibility

To use the services of this platform, you must confirm and warrant that:

You are at least eighteen years of age, or have reached the legal age of majority in your jurisdiction.
You have full legal capacity to enter into and comply with legally binding contracts.
Your use of this platform does not violate any applicable law or regulation of your jurisdiction.
You hold a legitimate Bitfinex exchange account, registered in your own name.
All personal data and account information you provide is true, accurate and complete.
You have not previously been suspended or terminated by this platform for violating these Terms or any applicable law or regulation.

If the Company finds that you do not meet any of the eligibility conditions above, the Company has the right to suspend or terminate your account immediately, without prior notice.

4. Privacy Policy and Cookie Policy

The Company values your privacy. For details of how we collect, use, store, and protect your personal data, please refer to the Platform's Privacy Policy. The Privacy Policy forms part of these Terms, and using the Platform indicates that you agree to its contents.

The data we collect and process may include:

Account data: The email address and related personal information you provide when registering.
API key data: The Bitfinex API keys you provide are stored using AES encryption and are used solely to carry out the lending operations you authorize. The Company will never store your API keys in plaintext.
Usage data: Records of your activity on the Platform, including lending settings, operation logs, and statistics.
Technical data: Device information, browser type, IP address, and data collected through cookies and similar technologies.

The Platform uses cookies and similar technologies to provide, maintain, and improve the service. You can manage your cookie preferences through your browser settings, but disabling certain cookies may affect your experience of the Platform.

The Company will process your personal data in accordance with the Personal Data Protection Act of the Republic of China (Taiwan) and other applicable regulations.

5. Account Registration and Security

5.1 Account registration

To use the full functionality of the Platform, you need to register a Renolab AI account. When registering, you may choose to sign in with an email address or a Google account. You must provide true, accurate, and complete information, and update it promptly when it changes.

5.2 Account security

You are responsible for:

Safeguarding your account login credentials and not sharing them with any third party.
Using a sufficiently strong password and changing it regularly.
Ensuring that the API key settings on your Bitfinex account grant only the minimum permissions necessary for lending.
Notifying the Company immediately upon discovering any unauthorized use of your account or any security vulnerability.

You are fully responsible for all activity carried out through your account, whether or not that activity was authorized by you. The Company assumes no liability for any loss caused by your failure to keep your account secure.

5.3 API key management

When configuring your Bitfinex API key on this platform, please be sure to note the following:

Grant the API key only lending-related permissions (such as Funding read and write), and never grant Withdraw permission.
If you suspect that your API key may have been compromised, revoke it in your Bitfinex account immediately and update the settings on this platform.
This platform decrypts and uses your API key only when performing lending operations, and will not transmit it to any third party other than Bitfinex.

6. Risk Disclosure Statement

Before using the Platform's automated order-placement service, please read and fully understand the following risk disclosure statement.

6.1 Lending risk

Rate volatility risk: Digital asset (e.g., stablecoins such as USDT) lending rates are affected by market supply and demand and may fluctuate sharply. Past rate performance is not a guarantee of future returns.
Borrower default risk: Although Bitfinex operates a margin system and a liquidation mechanism, borrowers may still be unable to repay in full under extreme market conditions.
Liquidity risk: Your funds may not be immediately available during the lending period; you must wait for the lending term to expire or for the borrower to repay early.

6.2 Platform and technology risk

Bitfinex platform risk: Renolab AI's service depends on the normal operation of the Bitfinex exchange. If Bitfinex experiences a system failure, a hacking attack, regulatory action, or other unforeseeable events, your assets and lending operations may be affected.
API connection risk: Automated lending operations depend on the stability of the API connection. Network outages, API changes, or service maintenance may delay lending operations or cause them to fail.
Automated strategy risk: Automated lending strategies operate on preset parameters and algorithms and may not respond perfectly to every market condition. Inappropriate parameter settings may lead to unintended lending outcomes.
System maintenance risk: The Platform may temporarily suspend service for system upgrades, maintenance, or other technical reasons, during which automated lending operations will be paused.

6.3 Regulatory risk

Regulatory change risk: The regulatory environment for digital assets and related services continues to evolve. Changes in regulation may affect the Platform's services or the legality of your use of them.
Tax risk: Lending income may give rise to tax obligations. You are responsible for understanding and complying with the tax rules of the jurisdiction in which you reside.

Important notice: The Platform does not provide investment advice. Using the Platform's automated lending features is your own decision, and you bear all associated risks. The Company is not liable for any loss caused by use of this service. Before using the service, we recommend that you fully assess your own risk tolerance and financial situation.

7. Ownership; License; Restrictions on the License

7.1 Intellectual property rights

The Platform and all of its content, including but not limited to software, code, interface design, text, images, logos, trademarks, and other materials (collectively, the “Platform Content”), are the property of the Company or its licensors and are protected by the Copyright Act, the Trademark Act, and other intellectual property laws of the Republic of China.

7.2 Limited license

Provided that you comply with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal use only. This license does not include:

Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any content of this platform.
Reverse engineer, decompile or disassemble this platform.
Use any automated tool (including but not limited to bots, crawlers or data-scraping tools) to access this platform, except where expressly authorized by the Company.
Remove any copyright, trademark or other intellectual property notice from the content of this platform.
Use the service in any manner that may damage, disable or overburden this platform.

7.3 User content

The lending settings, preferences, and related data you submit through the Platform remain yours. However, you grant the Company a non-exclusive, royalty-free license to use such data for the purpose of providing the service.

8. Code of User Conduct

When using this platform, you agree not to engage in any of the following:

Violating any applicable law, regulation, court order or order of a government authority.
Infringing the intellectual property rights, privacy rights or other rights of any third party.
Using another person's Bitfinex API key or account information, or conducting lending on another person's behalf without proper authorization.
Attempting to gain unauthorized access to the systems, servers or networks of this platform.
Interfering with or disrupting the normal operation of this platform, including transmitting viruses, malware or other harmful code.
Using this platform for money laundering, terrorist financing or any other unlawful activity.
Deliberately circumventing the security measures or access control mechanisms of this platform.
Placing an unreasonable burden on the infrastructure of this platform in any way.
Impersonating any person or entity, or misrepresenting your relationship with any person or entity.
Reselling, transferring or otherwise making access to this platform available to a third party.

The Company reserves the right to suspend or terminate your account outright if you violate the code of conduct above, without prior notice and without any liability.

9. Links to Other Websites

The Platform may contain links to third-party websites or services, including but not limited to the Bitfinex exchange website. Such third-party websites and services are not controlled by the Company, and the Company assumes no responsibility for their content, privacy policies, or practices.

Accessing any third-party website or service is your own decision and is at your own risk. The Company recommends that you read the terms and privacy policy of any third-party website or service you access before leaving the Platform.

The provision of third-party links on this platform does not constitute endorsement or recommendation by the Company of the content, products or services of those websites or services.

10. Disclaimers and Liability

10.1 Provision of the service

The Platform's services are provided on an “AS IS” and “AS AVAILABLE” basis. The Company makes no express or implied warranty that the service will be uninterrupted, timely, secure, or error-free, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 Limitation of liability

To the maximum extent permitted by law:

The Company and its directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from the use of, or the inability to use, the Platform's services.
The Company is not liable for losses caused by system failures, policy changes, service interruptions or other acts of the Bitfinex exchange.
The Company is not liable for losses arising where lending operations fail to execute as expected due to API connection interruptions, delays or errors.
The Company is not liable for reduced lending income or losses caused by fluctuations in market rates.
In no event shall the Company's total liability to you in connection with the service exceed the amount you actually paid to the Company for the service in the twelve months preceding the event giving rise to the damage.

10.3 Not investment advice

Any information provided by the Platform (including rate data, statistical reports, and strategy suggestions) is for reference only and does not constitute investment, financial, or tax advice. You should make lending decisions on your own or after consulting a professional.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its directors, employees, agents, partners, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Your breach of any provision of these Terms.
Your violation of any applicable law or regulation.
Your infringement of the rights of any third party.
Your use or misuse of the services of this platform.
Any untrue, inaccurate or incomplete information you provide.
Any problem caused by improper permission settings on your Bitfinex API key.

12. General Provisions

12.1 Governing law and jurisdiction

The interpretation, validity, and performance of these Terms shall be governed by the laws of the Republic of China (Taiwan). For all disputes arising out of or in connection with these Terms, the parties agree that the Taiwan Taipei District Court shall be the court of first instance.

12.2 Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

12.3 Waiver

The Company's failure to exercise, or delay in exercising, any right or remedy under these Terms does not constitute a waiver of that right or remedy. Any waiver must be made in writing and applies only to the specific circumstance concerned.

12.4 Entire agreement

These Terms (together with the Privacy Policy and other rules and policies published on the Platform) constitute the entire agreement between you and the Company regarding the Platform's services, and supersede all prior oral or written communications and agreements between the parties on the same subject matter.

12.5 Assignment

You may not assign or transfer any right or obligation under these Terms without the Company's prior written consent. The Company may assign its rights and obligations under these Terms to its affiliates or successors without further notice.

12.6 Modification and termination of the service

The Company reserves the right to modify, suspend, or terminate all or part of the Platform's services at any time and without prior notice. The Company shall not be liable to you or to any third party for any modification, suspension, or termination of the service.

12.7 Force majeure

The Company shall not be liable for any service interruption or delay caused by force majeure events, including but not limited to natural disasters, war, terrorist attacks, epidemics, government action, cyberattacks, power outages, or other events beyond the Company's reasonable control.

12.8 Language

These Terms are written in Chinese. In the event of any inconsistency between the Chinese version of these Terms and any other language version, the Chinese version shall prevail.
